By accessing or using StockCog ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Service Description

StockCog is an inventory management platform that provides tools for e-commerce businesses to manage products, track inventory, integrate with marketplaces, and optimize their operations through AI-powered features.

The Service includes:

  • Inventory tracking and management
  • Multi-channel marketplace integration
  • AI-powered product descriptions and optimization
  • Order management and fulfillment
  • Analytics and reporting
  • Shipping label generation and tracking

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly update your account information as needed
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Subscription and Payments

4.1 Subscription Plans

StockCog offers various subscription plans with different features and limits. Details of current plans are available on our pricing page.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • Prices may change with 30 days' notice
  • You authorize us to charge your payment method for recurring fees

4.3 Free Trial

If offered, free trials automatically convert to paid subscriptions unless cancelled before the trial ends.

5. Acceptable Use

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware or harmful code
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Use the Service for illegal or fraudulent activities
  • Resell or redistribute the Service without permission
  • Scrape or harvest data from the Service
  • Use automated systems to access the Service beyond API limits

6. Your Content

6.1 Ownership

You retain ownership of content you upload to the Service ("Your Content"). By uploading content, you grant us a license to use, store, and process Your Content solely to provide the Service.

6.2 Responsibility

You are responsible for Your Content and must ensure you have the right to upload it. We are not responsible for Your Content or any consequences of its use.

6.3 Backup

While we implement backup procedures, you are responsible for maintaining your own backups of Your Content.

7. Third-Party Integrations

The Service integrates with third-party platforms and marketplaces. Your use of these integrations is subject to their respective terms of service. We are not responsible for third-party services' availability, functionality, or actions.

You authorize us to access your third-party accounts as necessary to provide the Service, and you are responsible for compliance with third-party terms.

8. Shipping Services

8.1 Service Description

StockCog provides integrated shipping label generation and purchase services through third-party providers, primarily Shippo. These services allow you to purchase shipping labels, track packages, and manage shipments directly from the platform. By using our shipping services, you agree to these additional terms.

8.2 User Responsibilities

When using our shipping services, you are responsible for:

  • Providing accurate and complete shipping addresses
  • Accurately declaring package weight, dimensions, and contents
  • Ensuring all items shipped comply with carrier regulations and applicable laws
  • Properly packaging items to prevent damage during transit
  • Maintaining accurate customs declarations for international shipments
  • Complying with all export/import regulations and restrictions
  • Paying all applicable duties, taxes, and fees for international shipments

8.3 Carrier Terms and Conditions

By purchasing shipping labels through StockCog, you agree to be bound by the terms and conditions of the selected carrier (USPS, UPS, FedEx, DHL, etc.). These terms govern the actual transportation of your packages and supersede any conflicting provisions in these Terms for matters related to shipping and delivery.

You acknowledge that carrier terms may include limitations of liability for lost, damaged, or delayed packages, and specific procedures for filing claims.

8.4 Prohibited Items

You may not use our shipping services to ship:

  • Illegal items or contraband
  • Hazardous materials without proper documentation and compliance
  • Weapons, explosives, or ammunition
  • Live animals (except as permitted by carrier)
  • Perishable items without appropriate packaging and service selection
  • Items prohibited by the selected carrier
  • Items restricted by origin or destination country regulations

8.5 Label Purchase and Payment

Shipping label purchases are final and non-refundable once the label has been generated. Prices displayed are estimates and may vary based on actual package characteristics and carrier rates. You authorize us to charge your payment method for all shipping label purchases.

Unused labels may be eligible for carrier refunds according to their policies, but processing fees may apply. We are not responsible for carrier refund policies or timelines.

8.6 Liability Limitations

StockCog acts solely as an intermediary for shipping label purchase and is not a shipping carrier. We are not liable for:

  • Lost, damaged, stolen, or delayed packages
  • Carrier service failures or disruptions
  • Incorrect addresses provided by you or your customers
  • Customs delays, seizures, or rejections
  • Additional fees, duties, or taxes imposed by carriers or governments
  • Claims denied by carriers due to improper packaging or documentation

8.7 Insurance and Claims

Shipping insurance may be available for purchase. You are responsible for determining appropriate insurance coverage for your shipments. Claims for lost or damaged packages must be filed directly with the carrier according to their procedures and timelines. We may assist with claim filing but are not responsible for claim outcomes.

8.8 Service Availability

Shipping services may not be available for all destinations, package types, or at all times. Service availability is subject to carrier restrictions, regulatory requirements, and technical limitations. We reserve the right to modify, suspend, or discontinue shipping services at any time.

8.9 Compliance and Indemnification

You agree to indemnify and hold StockCog harmless from any claims, penalties, or liabilities arising from your use of shipping services, including but not limited to violations of shipping regulations, false declarations, prohibited items, or failure to pay customs duties and taxes.

9. Intellectual Property

The Service, including its design, features, and content (excluding Your Content), is owned by StockCog and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

"StockCog" and our logo are trademarks. You may not use our trademarks without written permission.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • The Service will meet your specific requirements
  • Results from the Service will be accurate or reliable
  • Any errors will be corrected

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOCKCOG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold StockCog harmless from any claims, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content

14. Termination

Either party may terminate the Service at any time. Upon termination:

  • Your access to the Service will cease
  • Unpaid fees remain due
  • You may export Your Content for 30 days
  • We may delete Your Content after 30 days

Sections that by their nature should survive termination will remain in effect.

15. Governing Law

These Terms are governed by the laws of Canada and the Province of British Columbia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of British Columbia.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service. Your continued use after changes constitutes acceptance.
